1. Acceptance of Terms
By accessing or using MerchantLedger (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.
2. Service Description
MerchantLedger is an accounting automation tool for Amazon sellers. The Service allows you to:
- Connect your Amazon Seller Central account via OAuth
- Import settlement reports and financial event data
- Categorize transactions into accounting-friendly categories
- Post summarized entries to accounting software (Wave, Xero, QuickBooks Online) or export data files
We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time with or without notice.
3. Eligibility and Account Registration
To use MerchantLedger, you must:
- Be an Amazon seller with an active Seller Central account
- Be at least 16 years of age
- Provide accurate, complete information during registration
- Maintain the security of your account credentials
You are responsible for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account.
4. Account Responsibilities
As a MerchantLedger user, you agree to:
- Provide Accurate Information: Ensure all data you provide to the Service is accurate and up-to-date
- Authorize Connections: Only connect accounts you own or are authorized to connect
- Comply with Laws: Use the Service in compliance with all applicable laws and regulations
- Respect Third-Party Terms: Your use of the Service must comply with Amazon Seller Central terms and your accounting software provider's terms
5. Data Access & Authorization
MerchantLedger accesses your seller data through Amazon's Selling Partner API (SP-API) and accounting provider APIs using OAuth authorization. By connecting your accounts, you grant us permission to access the data categories described in our Privacy Policy.
Authorization Scope
We only access seller data that you explicitly authorize via OAuth. We do not access data beyond the scope of permissions you grant. If we need additional data categories in the future (such as inventory data for new features), we will request re-authorization with updated permissions.
Revoking Access
You may revoke MerchantLedger's access to your data at any time by:
- In-App: Navigate to Connections and click "Disconnect" for the provider you wish to revoke
- Amazon: Revoke access in Seller Central under Apps & Services → Authorized apps
- Accounting Providers: Revoke access through your accounting software's connected apps settings
Revoking access stops future data retrieval but does not automatically delete previously imported data. See our Privacy Policy for data deletion procedures.
6. Acceptable Use
You agree not to:
- Use the Service for any illegal purpose or to facilitate illegal activity
- Reverse-engineer, decompile, or disassemble any part of the Service
- Interfere with or disrupt the Service or servers connected to the Service
- Use automated systems (bots, scrapers) to access the Service without permission
- Attempt to gain unauthorized access to any part of the Service or other users' accounts
7. Billing and Subscription
Current Status: MerchantLedger is currently in beta and available free of charge. We reserve the right to introduce paid plans and pricing in the future.
If we introduce paid services:
- You will be notified of pricing changes at least 30 days in advance
- You will have the opportunity to cancel before charges apply
- Fees (if any) are non-refundable except as required by law
8. Data and Intellectual Property
Your Data
You retain ownership of all data you provide to the Service, including your Amazon settlement data and accounting configurations. We do not claim any ownership interest in your data.
Our Intellectual Property
The Service, including all code, software, designs, text, graphics, and trademarks, is owned by MerchantLedger and protected by intellectual property laws. You may not copy, modify, or distribute our intellectual property without permission.
9. Disclaimers
Not Tax or Legal Advice
MerchantLedger is an accounting tool and does not provide tax, legal, or financial advice. You should consult with a qualified tax professional or accountant for advice specific to your situation.
Data Accuracy
The Service processes data provided by Amazon and other third parties. We cannot guarantee that all data will be 100% accurate or complete. You should review all postings to your accounting system before finalizing.
No Amazon Affiliation
MerchantLedger is an independent tool and is not affiliated with, endorsed by, or sponsored by Amazon.com, Inc. Amazon and Amazon Seller Central are trademarks of Amazon.com, Inc. or its affiliates.
Service Availability
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not guarantee uninterrupted or error-free operation.
10. Limitation of Liability
To the maximum extent permitted by law, MerchantLedger shall not be liable for:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, data, business opportunities, or goodwill
- Errors or inaccuracies in posted accounting entries
- Service interruptions or downtime
Our total liability shall not exceed the amount you paid (if any) for the Service in the 12 months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless MerchantLedger, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights (including Amazon or your accounting software provider)
12. Termination
Termination by You
You may terminate your account at any time by:
- Disconnecting your Amazon and accounting connections within the Service
- Requesting account closure via support@merchantledgerapp.com
Termination by Us
We may suspend or terminate your account if:
- You violate these Terms
- You engage in fraudulent or illegal activity
- We discontinue the Service
Effect of Termination
Upon termination, your right to use the Service ceases immediately. We will delete your data in accordance with our Privacy Policy within 30 days of account closure.
13. Dispute Resolution
Any disputes arising from or relating to these Terms or the Service shall be resolved through good faith negotiations. If negotiations fail, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
14. Governing Law
These Terms are governed by the laws of the United States and the state of Florida. Any legal action or proceeding relating to these Terms will be brought exclusively in the federal or state courts located in St. Johns County, Florida.
15. General Provisions
- Entire Agreement: These Terms constitute the entire agreement between you and MerchantLedger
- Waiver: Failure to enforce any provision does not constitute a waiver of that provision
- Severability: If any provision is found unenforceable, the remaining provisions remain in full force
- Assignment: You may not assign these Terms without our written consent
